Computer Institute & Franchise Program These Terms & Conditions (“Agreement”) govern the relationship between the Institute (Franchisor) and the Franchise Partner (Franchisee). By applying for or operating under the franchise, the Franchisee agrees to comply with the following terms. 1. Franchise Authorization The Franchisor grants a non-transferable, non-exclusive franchise license to operate a Computer / IT Training Institute under the approved brand name. Franchise rights are limited to the approved location/area only. Franchisee is not allowed to sub-license, sell, or transfer the franchise without written permission from the Franchisor. 2. Franchise Fees & Payments Franchisee must pay the applicable franchise fee as decided at the time of agreement. Franchise fees are non-refundable and non-adjustable under any circumstances. Any additional services (software, ERP, marketing, upgrades) may attract extra charges. 3. Institute Setup & Infrastructure Franchisee is responsible for: Classroom, computers, internet, electricity, furniture Local licenses, registrations, and permissions Infrastructure must meet the minimum standards prescribed by the Franchisor. 4. Courses & Training Courses, syllabus, fees structure, and certificates will be provided or approved by the Franchisor. Franchisee cannot modify course content, duration, or certification format without written approval. Faculty must be trained or approved as per institute guidelines. 5. Branding & Intellectual Property Brand name, logo, course material, certificates, software, and content are exclusive intellectual property of the Franchisor. Unauthorized use, duplication, or modification is strictly prohibited. Upon termination, Franchisee must immediately stop using the brand name and materials. 6. Marketing & Promotions Franchisee can do local marketing using approved branding materials only. False promises, misleading advertisements, or guarantee of jobs/income are strictly prohibited. Digital promotions must follow brand and legal compliance rules. 7. Student Admission & Fees Franchisee will manage student admissions and fee collection at their center. Franchisee is responsible for: Fee receipts Student records Local compliance The Franchisor is not responsible for local financial disputes between Franchisee and students. 8. Certificates Certificates will be issued only to students who: Complete the course Fulfill attendance & assessment criteria Fake or unauthorized certificates are a serious legal offense. 9. Compliance with Law Franchisee must comply with all applicable laws including: Education regulations GST / Tax laws Labour and local business laws Any legal violation by Franchisee will be their sole responsibility. 10. Confidentiality All business data, training methods, pricing, and internal documents are confidential. Franchisee shall not disclose information to any third party during or after the agreement. 11. Termination of Franchise The Franchisor reserves the right to terminate the franchise if: Brand misuse is found Fees or dues are unpaid Fraud, fake certificates, or illegal activities occur Terms & conditions are violated Termination can be immediate without refund. 12. Limitation of Liability The Franchisor is not responsible for: Profit or loss of the Franchisee Student placement or income guarantees Local operational risks Franchise is a business opportunity, not an employment. 13. Dispute Resolution Any dispute shall be resolved through mutual discussion first. If unresolved, disputes shall be subject to jurisdiction of the Franchisor’s registered office location only. 14. Modification of Terms The Franchisor reserves the right to update or modify these Terms & Conditions at any time. Updated terms will be effective once published on the website. 15. Acceptance By applying for or operating the franchise, the Franchisee confirms that: They have read and understood all terms They agree to comply fully with this Agreement
